This Agreement made on ...,2002 by and between (INSERT YOUR COMPANY), a corporation duly organized under the laws of (INSERT YOUR COUNTRY), hereinfater referred to as (INSERT YOUR COMPANY SHORTSTYLE/TRADENAME) and KTS Group, Int’l Shipping & Transport Co., a corporation duly organized under the laws of Iran, hereinafter referred to as KTS Group.
Whereas, KTS Group and (INSERT YOUR COMPANY) are each in the business of freight forwarding and representing forwarders, and Whereas, (YOUR COMPANY) desires to represent KTS Group , and KTS Group desires to represent. (YOUR COMPANY)...
Now therefore, the parties here to here by agree as follows :

DUTIES OF KTS Group
KTS Group will promote and solicit ocean and air traffic for (INSERT YOUR COMPANY) and KTS Group will make all necessary rrangements for such ocean and air transportation, give complete customer services with respect to incoming ocean and air freight shipments and provide routing , follow-up and all other supplementary services . KTS Group will also handle the distribution of all shipping documents and will collect all amounts due from (INSERT YOUR COMPANY) customer’s.
KTS Group hereby authorizes (INSERT YOUR COMPANY) to act as an independent representative for the country(ies) (INSERT THE COUNTRIES YOU ARE REPRESENTING ) for KTS Group . KTS Group will negotiate the terms of the contract through (INSERT YOUR COMPANY) and consider the acceptance of all business promoted and solicited for it by (INSERT YOUR COMPANY) . However, KTS Group has no obligation whatsoever to accept any such business submitted to it by (INSERT YOUR COMPANY). KTS Group will negotiate the terms of the contract through (INSERT YOUR COMPANY) with these customers. If a contract is entered into between KTS Group and a customer solicited by (INSERT YOUR COMPANY) , KTS Group will make a good faith effort to satisfactorily render all services that it has obligated itself to render under such contract.
Periodically, but at no greater intervals than one month, KTS Group will furnish (YOUR COMPANY) all information necessary to calculate the gross profit with respect to all shipments from KTS Group to the country (ies) as stated above .

DUTIES OF (INSERT YOUR COMPANY)
(YOUR COMPANY ) will promote and solicit ocean and air traffic for KTS Group and (YOUR COMPANY) will make all necessary arrangements for such ocean and air transportation, give complete customer services with respect to incoming ocean and air freight shipments and provide routing, follow-up and all other supplementary services .(YOUR COMPANY) will also handle the distribution of all shipping documents and will collect all amounts due from KTS Group 's customers.

(b) (YOUR COMPANY) hereby authorizes KTS Group to act as an independent representative for the ISLAMIC REPUBLIC OF IRAN for (YOUR COMPANY ). (YOUR COMPANY) will consider the acceptance of all business promoted and solicited for it by KTS Group. (YOUR COMPANY) will negotiate the terms of the contract through KTS Group with these customers . If a contract is entered into between (YOUR COMPANY) and a customer solicited by KTS Group, (YOUR COMPANY) will make a good faith effort to satisfactorily render all services that it has obligated itself to render under such contract.
 

(c) Periodically , but at no greater intervals than one month, (YOUR COMPANY) will furnish KTS Group all information necessary to calculate the gross profit with respect to all shipments from (YOUR COMPANY) to the country(ies) as stated above.

COMPENSATION
Every month during the term of this agreement each of KTS Group and(YOUR COMPANY) will compute from the information required to be supplied in Paragraph 1(c) and 2(c) above, the profit of all ocean and air traffic between the countries covered under this agreement. In case of direct business between (YOUR COMPANY) and KTS Group where no other office or company is involved, the profit will be split on a basis 50/50% between (YOUR COMPANY) and KTS Group, whereas in case of business where several partners are invloved, the profit obtained will be equally shared between the parties concerned .

NO AUTHORITY TO BIND
Neither party shall have the authority to conclude contracts in the name of the other party between such other party and any customer. Such authority to conclude contracts shall only be exercised by the company itself and its sole discretion.

INDEPENDENT STATUS
These parties hereto are general commission agents and each of independent status.

ENTIRE AGREEMENT
This agreement constitutes the entire understanding of the parties and supersedes all previous verbal and written agreements; there shall be no other agreements, representations or warranties not set forth herin.

CHOICE OF LAW
This agreement shall be entered into, concluded and executed in ..., 2002... It shall be interpreted and construed in accordance with the laws of Iran Chamber of Commerce rules.

TERM
This agreement shall be in force from the date hereof until terminated by Either party as per notice to the other party by 90 days . the notice of termination must be in writing and sent by certified or registered mail or by telefax and to be confirmed by the other party.
